Terms of Service

1. Agreement and business authority

These Terms of Service ("Terms") govern access to and use of RestoManage's websites, restaurant portal, supplier portal, point-of-sale software, related applications, and services (collectively, the "Service"). By creating an account, accepting an order form or contract, submitting an application that incorporates these Terms, or using the Service, you agree to these Terms.

The Service is intended for business use. If you use the Service for a restaurant, supplier, company, or other organization, you represent that you are authorized to accept these Terms on that organization's behalf. In these Terms, "Customer" means that organization and its authorized users.

2. What RestoManage provides

2.1 Restaurant operations

Depending on the plan and features enabled, the Service can include point-of-sale, order and payment recording, kitchen and table workflows, menu and recipe management, inventory, staff and shift functions, reporting, branch administration, compliance tasks, supplier purchasing, invoicing, and related operational tools.

2.2 Offline-first POS

The desktop POS is designed so supported local workflows can continue during temporary connectivity loss. Some data and credentials are stored on the restaurant device for that purpose and supported records synchronize when connectivity returns. Cloud-dependent functions, including some account, payment, email, update, and synchronization operations, still require a working internet connection.

2.3 Evolving features

RestoManage is actively developed. We may add, modify, replace, or retire features to improve the Service, address security or legal requirements, or adapt to third-party services. We will not intentionally make a material reduction to a paid core service without reasonable notice where notice is practical.

3. Accounts, roles, and Customer responsibilities

  • Keep account credentials, staff PINs, recovery channels, terminals, and devices secure.
  • Create separate user accounts where the Service supports them and grant only the access each person needs.
  • Remove or update access promptly when a staff member's role or employment changes.
  • Provide accurate organization, branch, billing, tax, staff, menu, customer, and supplier information.
  • Maintain suitable devices, printers, local networks, internet connectivity, operating-system security, backups outside the Service where appropriate, and any third-party accounts you choose to use.
  • Use the Service only in accordance with applicable law and these Terms.

Customer is responsible for activity performed through its authorized accounts and terminals, except to the extent caused by RestoManage's breach of these Terms or applicable law.

4. Customer Data and privacy roles

4.1 Customer Data

"Customer Data" means information submitted to, generated through, or stored in the Service for Customer's business operations, including restaurant orders, menu and inventory records, staff records, customer contact and delivery details, supplier records, and operational documents. As between Customer and RestoManage, Customer retains its rights in Customer Data.

4.2 Processing instructions

Where RestoManage processes personal data on Customer's behalf, RestoManage will process that data to provide, secure, support, maintain, and improve the contracted Service and as otherwise permitted by Customer's instructions, these Terms, the Privacy Policy, and applicable law. RestoManage may separately act as a controller for its own account, billing, security, support, website, and business-administration data.

4.3 Customer obligations for personal data

Customer is responsible for having an appropriate lawful basis, providing any notices, obtaining any permissions or consents, and responding to individuals' rights requests where Customer controls the purpose and means of processing. Customer must not place personal data in the Service that it is not legally permitted to process.

4.4 Privacy and security information

The Privacy Policy explains RestoManage's data practices. The Security and Trust Center describes current security controls and shared-responsibility boundaries.

5. POS records, payments, reporting, and tax

5.1 Operational records

The Service records operational events based on the information entered by Customer, its users, terminals, and connected workflows. Customer remains responsible for reviewing business-critical records, cash and card settlement, refunds, voids, inventory, and financial reports against source documents and payment-provider records.

5.2 Delivery-channel reporting

Delivery-platform names such as Talabat, Deliveroo, Careem, Noon, or other channels may be recorded as order-source tags for reporting. Unless a specific integration is expressly identified as connected, a channel name in the Service does not mean RestoManage directly receives or verifies data from that third party.

5.3 Tax and compliance

VAT calculations, tax summaries, compliance reminders, and financial reports are operational tools, not legal, accounting, or tax advice. Customer is responsible for validating records and filings with the UAE Federal Tax Authority or other relevant authority and for retaining records required by law.

6. Supplier Network

6.1 Technology platform

RestoManage provides technology that can connect restaurants and participating suppliers for catalogs, purchase orders, order status, invoicing, and related commercial workflows. Unless RestoManage expressly agrees otherwise in writing, RestoManage is not the buyer, seller, manufacturer, warehouse, carrier, or agent for goods traded between a restaurant and supplier.

6.2 Supplier responsibility

Suppliers are responsible for their products, descriptions, pricing, tax treatment, availability, quality, safety, regulatory compliance, delivery, warranties, and performance. Restaurants are responsible for reviewing purchase orders and deciding whether products are suitable for their business.

6.3 Commercial and payment context

The Service may surface order history, invoice status, payment-trust, or credit-profile context to participating parties where that context is relevant to an existing or permitted commercial relationship. Such information is an operational signal, not a credit report, guarantee, underwriting decision, or promise that another party will pay or perform.

6.4 Supplier transaction settlement

RestoManage's own subscription, contract, or invoice payments may use a payment provider. That is separate from settlement between restaurants and suppliers. Unless a specific RestoManage service or written agreement expressly states otherwise, supplier purchases are settled directly between the restaurant and supplier using the payment method they agree.

7. Fees, billing, cancellation, and refunds

7.1 Fees

Fees, currency, billing period, included features, setup charges, and any negotiated terms are those shown in the applicable checkout, invoice, order form, sales contract, or other written agreement. Public pricing may change for future purchases or renewals, subject to any committed pricing period in an existing written agreement.

7.2 Payment processing

RestoManage may use third-party payment processors such as MamoPay. Payment details entered on a provider's payment page are handled under that provider's terms and privacy practices. RestoManage may receive transaction status, amounts, currency, payment-link identifiers, charge identifiers, and related billing metadata needed to reconcile payment.

7.3 Recurring service and payment authorization

A monthly or recurring service term does not by itself authorize an automatic card charge. If a checkout or written agreement expressly authorizes recurring billing, billing may continue according to that authorization until cancelled. Otherwise, RestoManage may issue invoices or one-time payment links for amounts due. Cancellation applies prospectively and does not eliminate fees already earned or due for a current committed period.

7.4 Refunds

Unless a written agreement, checkout, or applicable law states otherwise, paid subscription and setup fees are non-refundable once the applicable service period or setup work has begun. This does not limit any remedy that cannot lawfully be excluded.

8. Acceptable use

You must not, and must not permit others to:

  • use the Service for fraud, money laundering, tax evasion, falsifying business records, unlawful surveillance, or any other unlawful purpose;
  • access another organization's data or account without authorization;
  • interfere with, probe, overload, bypass, or defeat security, rate limits, authentication, licensing, tenancy boundaries, or access controls;
  • upload malicious code or content designed to disrupt systems or obtain unauthorized access;
  • scrape or systematically extract data except through features or interfaces RestoManage expressly provides for that purpose;
  • reverse engineer or circumvent technical protections except where applicable law expressly permits that activity and does not allow the restriction to be waived; or
  • use the Service to build or train a competing product using RestoManage's non-public software, documentation, or confidential information.

9. Third-party services

The Service relies on or may connect to third-party infrastructure and services, including database, authentication, hosting, network-security, email, storage, payment, operating-system, device, and other providers. RestoManage is responsible for selecting and configuring providers within the parts of the Service it controls, but third parties remain responsible for their own services. Their outages, policy changes, API changes, or discontinued features may affect RestoManage functionality.

10. License and intellectual property

RestoManage and its licensors retain all rights in the Service, including software, interfaces, designs, documentation, trademarks, and underlying technology. During a valid subscription or authorized trial, RestoManage grants Customer a limited, non-exclusive, non-transferable right to use the Service for Customer's internal business operations, subject to these Terms and the applicable plan.

If Customer provides product feedback or suggestions, Customer grants RestoManage permission to use them without restriction or payment, provided RestoManage does not publicly identify Customer as the source without permission.

11. Availability, maintenance, and updates

RestoManage aims to provide a reliable Service, but no online, cloud-connected, or device-based system is continuously available in every circumstance. Maintenance, internet failure, device failure, third-party outages, security response, updates, or events outside reasonable control may cause interruptions. The Service is provided on an "AS IS" and "AS AVAILABLE" basis except for any express commitments in a separate written agreement.

RestoManage may release security, compatibility, and functional updates. Customer is responsible for keeping supported applications and devices reasonably current where an update is necessary for secure or supported operation.

12. Suspension and termination

RestoManage may suspend access where reasonably necessary to protect the Service or another customer, respond to a security incident, comply with law, address non-payment, or stop a material breach of these Terms. Where practical, we will provide notice and an opportunity to cure before a non-emergency suspension.

Either party may terminate according to the applicable checkout, order form, contract, or billing arrangement. After termination, Customer's right to use the Service ends. Data access, export, deletion, and retention are subject to the product's available export functions, the Privacy Policy, legal retention requirements, legitimate dispute or security needs, and any separate written agreement.

13. Confidentiality

Each party may receive non-public business, technical, commercial, or security information from the other. The receiving party will use reasonable care to protect confidential information and will use it only for the relationship contemplated by these Terms, except where disclosure is authorized, required by law, or the information becomes public through no breach of duty.

14. Disclaimer of warranties

To the maximum extent permitted by applicable law, RestoManage disclaims implied warranties, conditions, and representations, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. RestoManage does not guarantee that every feature will meet every Customer requirement, that third-party data will be accurate, or that the Service will operate without interruption or error.

Nothing in these Terms excludes a warranty, right, or remedy that applicable law does not permit the parties to exclude.

15. Limitation of liability

To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profit, goodwill, or anticipated savings, arising from these Terms or the Service, even if advised that such loss could occur.

To the maximum extent permitted by applicable law, RestoManage's aggregate liability arising out of or relating to the Service and these Terms will not exceed the fees paid or payable to RestoManage for the affected Service during the six months immediately preceding the event giving rise to the claim.

These limitations do not apply to liability that cannot lawfully be limited or excluded.

16. Indemnification

To the extent permitted by law, Customer will defend and indemnify RestoManage against third-party claims, losses, and reasonable costs arising from Customer's unlawful use of the Service, Customer Data that Customer was not authorized to process, Customer's products or supplier transactions, or Customer's material breach of these Terms, except to the extent the claim was caused by RestoManage's own breach, negligence, or unlawful conduct.

17. Events outside reasonable control

Neither party is responsible for delay or failure caused by events beyond its reasonable control, such as widespread internet or cloud outages, natural disasters, utility failures, acts of government, labor disruption, civil disorder, or major cybersecurity events not caused by that party's failure to take reasonable precautions. Payment obligations for Services already provided are not excused by this section.

18. Changes to these Terms

We may update these Terms as the Service, law, or business model changes. We will post the revised Terms with a new effective date. Where a change materially affects an existing paid Customer's rights or obligations, we will provide reasonable notice through the Service, email, or another appropriate channel where practicable. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law.

19. Governing law and disputes

These Terms are governed by the applicable federal laws of the United Arab Emirates and the laws of the Emirate of Sharjah, without regard to conflict-of-law principles. Subject to any mandatory law that requires otherwise, the courts of Sharjah, United Arab Emirates, will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service.
